Paralegal/ Contracts Specialist

Job Description

Job Title: Senior Paralegal/Senior Contracts Specialist. Location: Remote (United States); Remote (Canada)

You will act as a trusted partner, handling complex contracts and legal workflows that support D-Wave’s commercial growth, products, and services. The role is fully remote for candidates based in the United States or Canada.

Duties:

• Provide senior-level support for commercial contracting and legal operations across the organization.
• Independently draft, review, negotiate, and finalize agreements such as NDAs, SaaS contracts, consulting agreements, and vendor or supplier contracts.
• Review third-party terms, identify legal and business risks, and propose practical, business-focused solutions.
• Support complex transactions including collaboration, technology, consulting, and financing-related agreements;
• Coordinate workflows and manage communication between internal teams and external partners through contract execution.
• Prepare and maintain corporate entity records and other general corporate documentation.
• Manage and improve contract lifecycle tools, processes, controls, and deadline tracking systems.
• Serve as a main contact for routine contracting questions and escalate issues to Legal Counsel when needed.
• Help standardize and scale contract templates, playbooks, and legal processes in a global environment.

Qualifications:

• Bachelor’s degree in legal studies, business, or a related field with 6+ years of relevant experience, or a paralegal certification with 8+ years of experience.
• Strong ability to work independently with sound judgment on legal risk, priorities, and execution.
• Proven experience drafting, reviewing, and negotiating a high volume of complex commercial agreements.
• Ability to manage multiple priorities in a fast-paced, cross-functional, and global setting;
• Strong communication and relationship-building skills with a practical, business-first mindset.
• Ongoing interest in staying current with laws, regulations, and industry guidance affecting contracts and operations.

Benefits and Instructions:

• Salary range: $84,800–$127,200 USD per year for U.S.-based candidates and $76,000–$114,000 CAD per year for Canada-based candidates.
• Compensation includes base pay and may include equity, bonus, and additional benefits discussed during the interview process.
